Service details and pricing are specified in proposals or service agreements. Custom work may include timelines and payment schedules agreed upon with the client.

Eligibility

By using our services, you confirm that you are at least 18 years old and authorized to enter into contracts on behalf of yourself or your business.

Client Obligations

You agree to:

Provide accurate and complete information required for project execution
Review and approve deliverables within a reasonable timeframe
Respond promptly to communication
Ensure that all content you provide (text, images, videos, etc.) is lawful and does not infringe on third-party rights

Failure to meet these responsibilities may cause project delays or incur additional fees.

Project Timelines and Delivery

Project timelines are estimates and may be adjusted due to changes in scope, revisions, or delays in communication. WebOnFlow will notify you promptly of any anticipated delays and work to keep your project on track.

Payments and Billing

All service fees will be outlined in a written proposal or agreement. Payment terms are as follows unless otherwise agreed:

50% non-refundable deposit before work begins
50% upon completion or before final handoff

Full payment is required before final website launch or transfer of any assets. Late payments may be subject to additional charges or service suspension.

Cancellations and Refunds

Either party may cancel the project with written notice. In case of cancellation:

Work completed up to that point will be invoiced
The deposit remains non-refundable
If full payment has been made and work has been delivered, no refunds will be issued

Intellectual Property

You retain full ownership of your content and final deliverables after full payment is received
WebOnFlow retains the right to display work in its portfolio unless otherwise agreed in writing
Any third-party assets (fonts, stock photos, plugins) remain subject to their own licenses and terms

Use of Third-Party Services

We may use or recommend third-party services (e.g., hosting providers, analytics tools). While we make reasonable recommendations, WebOnFlow is not responsible for outages, changes, or failures in third-party tools or platforms.

Confidentiality

We treat all non-public information you provide as confidential and will not disclose it to outside parties unless legally required or with your explicit consent. This includes business data, internal materials, and project-related discussions.

Warranties and Disclaimers

All services are provided “as is” without warranties of any kind. We do not guarantee:

Specific performance outcomes (e.g., rankings, traffic, conversions)
Compatibility with all web browsers or devices
Results from SEO or digital marketing efforts

We will make every reasonable effort to deliver work of a professional standard.

Limitation of Liability

To the fullest extent permitted by U.S. law, WebOnFlow LLP shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our website or services.

Our total liability for any claim related to services rendered shall not exceed the amount paid by the client for the specific service in question.

Indemnification

You agree to indemnify and hold harmless WebOnFlow LLP and its team from any claims, liabilities, losses, or expenses (including legal fees) arising from your use of our services, your content, or any breach of this Agreement.

Termination of Services

We reserve the right to terminate a project or service relationship if the client:

Violates any part of this Agreement
Fails to make payment after repeated reminders
Is abusive, unresponsive, or acts in bad faith

In such cases, we will provide notice, and any unpaid work will be billed accordingly.

Governing Law

This Agreement is governed by the laws of the State of Texas and applicable United States federal laws. Any disputes shall be resolved in the courts located in Austin, Texas.

Updates to These Terms

We may update or revise these Terms from time to time. The latest version will always be available on our website. Continued use of our services after changes are made constitutes acceptance of the new terms.
